Offer Agreement
This agreement between CO «CF «Up Up Ukraine» (hereinafter referred to as the "Foundation") and the user of the Internet website (hereinafter referred to as the "Benefactor") is a contract of charitable targeted assistance for the purpose of the Foundation's programs, which are listed on https://superkidsua.website/ under the "Charity" tab. The Benefactor transfers funds in the form of a charitable contribution, and the Foundation undertakes to accept funds in the form of charitable contribution for the execution of programs and deliver the products that are specified in the order. The Foundation undertakes to perform targeted charitable programs and reporting on the 3rd of each month for the previous month on https://superkidsua.website/ under the "Reports" tab. The Benefactor accepts the terms of this agreement of charitable targeted assistance (hereinafter - the "Contract") on the following terms.
1. Definition of Terms
1.1. Public Offer (hereinafter referred to as the "Offer") - a public proposal of the Foundation addressed to an indefinite circle of persons in order to conclude a contract of charitable targeted assistance with the Foundation in a remote way (hereinafter - the "Contract") under the terms contained in this Offer, including all Annexes.
1.2. Order is the decision of the Benefactor to order products and their delivery. Order is placed in a charitable online store.
2. General provisions
2.1. The information below is an official proposal (Offer) of a charitable online store https://superkidsua.website/ to any individual (hereinafter referred to as the "Benefactor") to conclude a contract of charitable targeted assistance. This contract is public, that is, in accordance with Article 633 of the Civil Code of Ukraine, its terms are the same for all Benefactors.
2.2. In accordance with Article 642 of the Civil Code of Ukraine, the fact of registration and transfer of funds is the full and unconditional acceptance of the terms of this proposal (Offer), which confirms the conclusion of the charitable targeted assistance Contract on the terms as proposed below.
2.3. By registration of the Order and transfer of funds the Benefactor confirms the approval and unconditional acceptance of the terms of this proposal (Offer).
2.4. By concluding a Contract (that is, accepting the terms of this proposal (Offer) by making an Order and recalculating funds), the Benefactor confirms the following:
a) the Benefactor is fully acquainted and agrees with the terms of this proposal (Offer);
b) the Benefactor gives permission for the collection, processing and transfer of personal data on the conditions specified below in the Warning for the collection, processing and transmission of personal data. The permission to process personal data shall be valid throughout the Contract, as well as within an unlimited period after its expiration. In addition, the conclusion of the Contract confirms that the Benefactor is notified (without additional notification) of the rights established by the Law of Ukraine on "Personal Data Protection", of the goals of data collection, as well as the fact that the Benefactor's personal data is transferred to the Foundation for the purpose of fulfilling the terms of this Contract, the possibility of mutual settlements, as well as for receiving invoices, acts and other documents. The Benefactor also agrees that the Foundation has the right to provide access and to transfer the Benefactor's personal data to third parties without any additional messages to the Benefactor, and without changing the purpose of processing personal data. The amount of the Benefactor's rights as a personal data subject in accordance with the Law of Ukraine on "Personal Data Protection" is known and understandable for the Benefactor.
3. Amount of Order and Charitable Contribution
3.1. The amount of charitable target contribution to each product is indicated on the website of the online store.
3.2. The Foundation has the right to change the amount of charitable target contribution to any product, except after receiving funds from the Benefactor.
3.3. The obligation of the Benefactor to transfer funds as a charitable target contribution are considered fulfilled from the moment of receipt of funds to the account of the Foundation.
3.4. Duties between the Foundation and the Benefactor are carried out by the ways listed on the website of the charitable online store under the "Payments" tab.
4. Registration of Charitable Target Contribution and Order
4.1. Orders are made by the Benefactor through the website service of the charitable online store https://superkidsua.website/.
4.2. When ordering a charitable target contribution on the website of a charitable online store the Benefactor undertakes to provide the following registration information:
4.2.1. Surname, name, patronymic of the Benefactor or the person specified by the Benefactor (recipient of the product);
4.2.2. Delivery address of the products for a charitable target contribution (if delivery has to be to the recipient's address);
4.2.3. Email address;
4.2.4. Contact telephone (product recipient for a charitable target contribution);
4.3. Name, quantity, article, and amount of product chosen for charitable target contribution. The products are indicated in the Benefactor's cart on the website of a charitable online store.
4.4. If the Foundation requires additional information, it has the right to request it from the Benefactor.
4.5. Acceptance of this Offer by the Benefactor is carried out by entering the relevant data by the Benefactor in the registration form on the website of a charitable online store.
4.6. The Benefactor is responsible for the accuracy of the information provided when placing the Order.
4.7. The Contract of providing charitable targeted assistance in a remote way between the Foundation and the Benefactor is considered to be concluded from the moment the Order is placed electronically on the website of a charitable online store, which confirms the transfer of funds.
5. Delivery and Transfer of Products to the Recipient
5.1. The methods, procedure and timing of products delivery are indicated on the website under the "Shipping Info" tab.
5.2. Delivery of products with the involvement of third parties (carrier).
5.3. When receiving the goods, the recipient must check the compliance of the products with the quantitative characteristics (product name, quantity, completeness) in the presence of the courier representative.
5.4. When the recipient or representative of the recipient accepts the products, the recipient or representative of the recipient confirms the acceptance and has no claims for the quantity of products, appearance and completeness of products.
6. Return Policy
6.1. The Benefactor has no right to refuse products after transferring funds.
6.2. The Benefactor has the right to change the selected Order within 24 hours from the moment of transfer of funds by contacting the support chat.
7. Liability of the Parties
7.1. The Foundation and the Benefactor are responsible for the fulfillment of their obligations in accordance with the current legislation of Ukraine and the provisions of this Contract.
